IMPORTANT NOTICE: THESE TERMS OF SERVICE CONTAIN A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER, WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

Welcome to Gamerie! We’re building a professional network to connect esports gamers, teams, scouts, and organizations. These Terms of Service (“Terms”) govern your access to and use of the Gamerie website, applications, and services (collectively, the “Platform”).

By creating an account or using our Platform, you agree to be bound by these Terms.

1. Who Can Use Gamerie?

You must be at least 16 years old to use the Platform. If you are under the age of 18, you represent that you have your parent or legal guardian’s permission to use the Platform and that they have read and agreed to these Terms on your behalf.

2. Your Account

Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Gamerie is not liable for any loss or damage arising from your failure to comply with this requirement.

3. Your Content & Our License

You Own Your Content

You retain ownership of all the content you post, upload, or share on the Platform, including your profile information, posts, gameplay clips, comments, and messages (“User Content”).

Our License to Your Content

By submitting User Content, you grant Gamerie a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, and publicly display such content. This license is for the limited purpose of operating, developing, providing, and improving the Platform and promoting our services. This license ends when you delete your User Content or your account.

4. Acceptable Use Policy

You agree not to do any of the following:

• Post, upload, or share any content that is illegal, fraudulent, defamatory, hateful, discriminatory, threatening, or harassing.
• Engage in any form of cheating, account selling, boosting, or any other activity that violates the terms of service of any game publisher.
• Impersonate any person or entity or falsely state your affiliation with any person or entity.
• Use the Platform for spam, phishing, or to distribute malware.
• Attempt to reverse engineer, decompile, or otherwise access the source code of the Platform.
• Use any automated system (bots, scrapers, etc.) to access the Platform or collect information from it without our express written permission.

We reserve the right to remove any content and terminate or suspend any account that violates these rules without notice.

5. The Gamerie Platform

Our Intellectual Property

The Gamerie name, logo, visual design, and all related intellectual property are owned by [Your Company Name, LLC]. You may not use them without our prior written permission.

Availability

We strive to keep the Platform operational, but it may be unavailable from time to time for maintenance or other reasons. We are not liable for any downtime.

6. Termination

You are free to stop using our Platform at any time. We may also terminate or suspend your access to the Platform at our discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

7. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, GAMERIE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through final and binding arbitration, rather than in court. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.

9. General Terms

Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide you with notice through our Platform or by other means. Your continued use of the Platform after the changes have been implemented will constitute your acceptance of the changes.
